POLYTRADE LEGAL
Wallet Delegation Authorization
1. Parties and relationship
This Wallet Delegation Authorization (“Authorization”) supplements the Polytrade Terms of Use and applies when you enable a delegated wallet, signer, or execution policy for live trading. “You” means the wallet owner and Polytrade account holder. “Polytrade” means BIVEX AI INC.
You retain beneficial ownership of your wallet and assets. Delegation does not transfer ownership to Polytrade and does not make Polytrade your broker, custodian, investment adviser, fiduciary, or agent for purposes beyond the limited technical authority described here.
2. Limited authority granted
You authorize Polytrade and its designated execution systems, using the wallet infrastructure and signer identified during setup, to generate, sign, submit, modify, and cancel only those prediction-market orders and related venue transactions that:
- are generated from live copy sources you enable or from direct controls you use;
- are permitted by the live policy, venue permissions, wallet policy, plan limits, and duration shown to you;
- relate to supported markets and venues, including Polymarket or Kalshi only when expressly shown as enabled; and
- include ancillary steps reasonably necessary for an authorized order, such as venue approvals or allowances, only if separately disclosed in the authorization interface or transaction policy.
The definitive technical scope is the narrower of this Authorization and the limits displayed in the authorization interface or enforced by the wallet and venue. Polytrade has no authority under this document to withdraw assets to an unrelated address, transfer ownership of your account, borrow, lend, pledge assets, change your identity information, or exceed the displayed policy. If a proposed capability is not clearly disclosed, it is not authorized.
3. User-selected controls
You choose available controls such as enabled leaders, maximum trade size, maximum market exposure, daily-loss amount, maximum slippage, maximum signal age, supported venues, and delegation duration. These are best-effort constraints across multiple systems, not promises of execution or loss prevention. Venue rules, partial fills, price movement, outages, and orders already transmitted can produce results outside a displayed expectation without expanding the legal scope of this Authorization.
4. No per-order approval and copy-trading divergence
Within the authorized scope, transactions may occur automatically without a new prompt or signature request for each order. The leader’s trade and your order are separate. Your order may receive a different price or size, fill partly, reject, arrive late, be missed or duplicated, or remain open. A standing leader limit order can fill when no equivalent follower liquidity remains.
5. Duration, disabling, and revocation
This Authorization begins when you complete the delegation flow and continues until the earliest of its displayed expiration, effective revocation, or termination by Polytrade. You may disable live policy controls in Polytrade and may revoke wallet or signer authority through the available wallet or provider controls. Contact support@polytrade.market if you cannot locate the applicable control.
Revocation is not retroactive. It does not reverse fills, cancel all open orders, close positions, recover losses, prevent settlement, or necessarily stop a transaction already signed or transmitted. Revocation or disablement may take time to propagate across Polytrade, Privy, a venue, and a network. You must verify the result directly at each relevant wallet and venue and separately cancel orders or close positions you no longer want.
Canceling a paid subscription does not itself revoke delegation or disable live trading. Disabling or revoking live trading does not itself cancel a paid subscription.
6. Your responsibilities
You must maintain secure control of your account and authentication methods; ensure you are eligible for every connected venue and jurisdiction; maintain appropriate balances and allowances; monitor orders, positions, and wallet activity; review audit records and venue confirmations; and promptly report suspected unauthorized activity. Do not authorize amounts you cannot afford to lose.
7. Providers and allocation of responsibility
Privy may provide wallet or signing infrastructure, and Polymarket, Kalshi, networks, and other providers may execute or record transactions. Each is independent and may impose separate terms. Use of Privy does not blanket-shift to Privy or to you responsibility for Polytrade’s own unauthorized acts, gross negligence, willful misconduct, misleading disclosures, security failures for which Polytrade is legally responsible, or non-waivable duties. Likewise, Polytrade is not responsible for an independent provider’s acts except to the extent applicable law provides otherwise.
8. Security and operational limits
No wallet, signer, policy, API, smart contract, network, or security control is infallible. Compromise, software defects, policy misconfiguration, outage, delayed revocation, replay, duplicate requests, or inaccurate state can cause unintended activity. Stops, take-profit controls, daily limits, pauses, and notifications are not guaranteed. Review the Platform and Live Copy Trading Risk Disclosure before authorizing.
9. No waiver
This Authorization documents consent to transactions within its limited scope. It does not authorize undisclosed conduct, waive claims for transactions outside that scope, excuse misleading disclosures, or waive any right or duty that cannot lawfully be waived.
